1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AppBiz Studio, LLC ("Company," "we," "our," or "us"), a Delaware limited liability company, regarding your use of our website, services, and applications.

By accessing our website at https://appbiz-studio.com or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Acceptance of Terms

You may not use our services and may not accept these Terms if:

• You are not of legal age to form a binding contract with us
• You are prohibited from receiving our services under applicable laws
• You have previously been suspended or removed from our services

3. Description of Services

AppBiz Studio provides professional mobile application development services, including:

• FastMVP™ Development: Rapid mobile app development in 30 days
• Cross-Platform App Development: iOS and Android applications
• UI/UX Design: User interface and user experience design services
• Backend Development: Server-side development and database management
• App Store Services: App Store optimization and deployment assistance
• Marketing Services: Digital marketing and growth strategies for mobile apps
• Consulting Services: Strategic advice on mobile app development and business growth

4. Service Agreements and Proposals

4.1 Project Proposals

All services are provided under separate project agreements or statements of work ("SOW") that will specify:

• Detailed scope of work and deliverables
• Project timeline and milestones
• Payment terms and pricing
• Specific terms and conditions for the project

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes to existing service agreements.

5. Payment Terms

5.1 Pricing and Fees

Service fees are specified in individual project agreements. Unless otherwise stated:

• All prices are in US Dollars (USD)
• Prices are exclusive of applicable taxes
• Custom quotes are valid for 30 days unless otherwise specified

5.2 Payment Schedule

Payment terms vary by project but typically include:

• Initial Deposit: 50% due upon project commencement
• Milestone Payments: As specified in project agreement
• Final Payment: Due upon project completion and delivery
• Payment Due Date: Net 15 days from invoice date unless otherwise specified

5.3 Late Payments

Late payments may incur interest charges of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts past due.

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment for services, clients will own:

• Custom source code developed specifically for the client
• Custom design assets created for the client's project
• Client-specific documentation and materials

6.2 Company Retention

AppBiz Studio retains ownership of:

• Pre-existing proprietary tools, frameworks, and methodologies
• General knowledge, skills, and experience gained during projects
• Marketing materials, case studies, and portfolio rights (with client approval)

6.3 Third-Party Components

Projects may incorporate third-party libraries, frameworks, or services subject to their respective licenses. Clients are responsible for compliance with third-party licensing terms.

7. Client Responsibilities

7.1 Information and Access

Clients agree to:

• Provide accurate, complete, and timely information required for project completion
• Grant necessary access to systems, accounts, and resources
• Respond to requests for feedback and approvals within agreed timeframes
• Designate authorized representatives for project decisions

7.2 Content and Materials

Clients are responsible for:

• Ensuring all provided content is original or properly licensed
• Obtaining necessary permissions for use of third-party materials
• Compliance with applicable laws and regulations for their app content

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We will remedy any material non-conformance at no additional cost within 30 days of project delivery.

8.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

10. Indemnification

Client agrees to indemnify, defend, and hold harmless AppBiz Studio from and against any claims, damages, losses, or expenses arising from:

• Client's breach of these Terms or any project agreement
• Client's use of delivered applications or services
• Content or materials provided by Client
• Client's violation of applicable laws or third-party rights

11. Confidentiality

11.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information disclosed during the course of the business relationship.

11.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is publicly available through no breach of these Terms
• Was known prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed by law or court order

12. Termination

12.1 Termination by Either Party

Either party may terminate a project agreement with 15 days written notice. Upon termination:

• Client pays for all work completed through termination date
• AppBiz Studio delivers all completed work products
• Both parties return or destroy confidential information

12.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 10 days written notice.

13. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, or internet/technology failures.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising under these Terms shall be resolved through:

1. Good Faith Negotiation: 30 days of good faith negotiation
2. Mediation: If negotiation fails, binding mediation in Delaware
3. Litigation: Exclusive jurisdiction in Delaware state or federal courts

15. General Provisions

15.1 Entire Agreement

These Terms, together with any executed project agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

15.2 Amendments

These Terms may be amended only by written agreement signed by both parties. We may update these Terms for future projects with 30 days notice.

15.3 Severability

If any provision is found unenforceable, the remainder of these Terms shall remain in full force and effect.

15.4 Assignment

Clients may not assign their rights under these Terms without our written consent. We may assign our rights to affiliates or in connection with a merger or sale of assets.
